Terms of Service & Working Principles

All custom software development, artificial intelligence integrations, restaurant platform engineering, and product design services delivered by RescountLab are governed by formal, written Statements of Work (SOWs) executed by authorized representatives of both parties.

• Each SOW explicitly defines the technical deliverables, architectural scope, milestone schedules, acceptance criteria, and commercial consideration.
• In the event of any specific operational discrepancy between these general terms and an executed SOW, the specific terms of the SOW govern that project.
• Any modification or expansion to technical scope is managed through mutual written change orders prior to code execution.

RescountLab operates as a dedicated technical partner. We firmly believe that businesses must own the proprietary software they commission.

• Zero proprietary vendor lock-in or recurring code licensing royalties on custom deliverables.
• Clients receive full Git repository administrative transfers and complete production documentation.
• Pre-existing studio utility libraries or third-party open-source dependencies retain their respective standard permissive licenses (e.g. MIT, Apache 2.0).

We engineer digital products in focused, agile sprint milestones to maintain quality, transparent velocity, and human oversight:

• Staging Environment Previews: Each milestone deliverable is deployed to an isolated client preview staging environment for hands-on review.
• 7-Day Verification Period: Clients are provided 7 business days following delivery notification to review and test the milestone against agreed technical acceptance criteria.
• Formal Acceptance: Written sign-off or deployment into production constitutes milestone acceptance, triggering subsequent sprint release.

High-performing software engineering requires responsive partnership. To maintain project velocity and milestone timelines, the client agrees to:

• Designate an authorized project lead with decision-making authority for architectural approvals and scope clarifications.
• Provide timely access to required third-party service credentials (e.g., Stripe, cloud infrastructure, domain DNS, API keys).
• Provide necessary operational content, branding guidelines, and testing assets within agreed milestone timelines.

Our commercial terms are transparent and aligned directly with milestone progress:

• Invoicing Schedules: Invoices are issued based on agreed milestone completion or sprint commencement as stipulated in the SOW.
• Payment Terms: Invoices are payable within 14 calendar days of issuance unless customized commercial terms are specified in an enterprise agreement.
• Payment Methods: We accept wire transfers (SEPA / SWIFT) and major business cards processed via Stripe.
• Work Continuance: Execution of subsequent project milestones is contingent upon settlement of preceding milestone retainers.

We stand behind the engineering quality and resilience of every digital product we ship.

• Rapid Bug Resolution: High-severity production blockers are triaged with immediate escalation protocols.
• Optional Retainer SLAs: Following the warranty window, clients may engage RescountLab for ongoing monthly retainers covering dependency security updates, feature scaling, and uptime monitoring.

Where deliverables incorporate artificial intelligence, large language models (LLMs), automated speech synthesis, or predictive machine learning pipelines, the following operational principles apply:

• Probabilistic Nature: Generative AI tools and predictive models operate probabilistically. While RescountLab implements rigorous validation schemas and system guardrails, zero hallucination cannot be mathematically guaranteed by any current foundation model.
• Human-in-the-Loop Architecture: We architect human review checkpoints for high-stakes operational workflows (e.g. automated payment dispatches, high-value bookings).
• Client Operational Oversight: Clients agree to maintain reasonable operational review procedures appropriate to their industry standards.

Both parties agree to treat all proprietary technical specifications, architectural designs, codebases, commercial terms, and customer data as strictly confidential:

• Neither party will disclose confidential information to any third party without prior written authorization.
• Confidentiality covenants remain binding for a minimum period of three (3) years following the completion of the project or termination of engagement.
• Standard mutual non-disclosure agreements (NDAs) remain fully enforceable alongside these terms.

To the maximum extent permitted by applicable French and European Union commercial law:

• Neither party will be liable for indirect, incidental, special, punitive, or consequential damages (including lost profits, lost business opportunities, or data loss).
• The aggregate commercial liability of RescountLab arising out of or related to any project engagement is strictly capped at the total amount actually paid by the client under the applicable Statement of Work in the preceding twelve (12) months.

These Terms of Service and all related Statements of Work are governed by and construed in accordance with the laws of the French Republic and the European Union, without regard to conflict of law principles.

• Amicable Resolution: Any dispute or claim arising out of an engagement will first be submitted to good-faith mediation between executive principals for a period of thirty (30) days.
• Exclusive Jurisdiction: If mediation does not resolve the dispute, both parties consent to the exclusive jurisdiction of the competent commercial courts located within the jurisdiction of the Court of Appeal of Douai / Lille, France.
